Zovirrax distribution agreement In consideration for several amendments to the original terms of the Zovidax distribution agreement effective October 1, 2002, Biovail will pay GSK , 500, 000 per year in four annual instalments on March 31 of each year beginning in 2004. If approval of Wellbutrin XL is not granted by the FDA by September 30, 2003, the original terms specified in the distribution agreement will once again become effective. Despite the above, there is at present, no firm epidemiological evidence that topical tar products cause cutaneous or internal cancer. The extent of percutaneous absorption of tar derivatives in tar-treated patients with psoriasis is currently unknown. Research and development Research and development expenses were .6 million in 2003 compared to .2 million in 2002, an increase of .4 million or 66%. As a percentage of total revenue, research and development expenses were 10% in 2003 compared to 7% in 2002. Research and development expenses reflect direct spending on the development of products utilizing advanced oral drug delivery technologies. In the ordinary course of business, we enter into research and development collaborations with third parties to provide formulation and other services for our products under development. These third party developers are typically compensated through a combination of fees for service, milestone payments and or royalty payments from future sales of the products under development. The increase in research and development expenses in 2003 compared to 2002 reflected an increase in clinical activity to support the December 2003 NDA submission for Ralivia ERTM, which was accepted for review by the FDA in February 2004, and to support the June 2003 submission of a supplemental NDA for an angina indication for Cardizem LA, which was approved by the FDA in April 2004. In addition, research and development expenses in 2003 compared to 2002 included the costs associated with a clinical experience program designed to evaluate the use of Cardizem LA in a clinical practice setting. Additional products under development in 2003 included once-daily formulations of metformin HCl, for the treatment of Type II diabetes, in collaboration with Depomed Inc. "Depomed" ; , and clinically enhanced versions of venlafaxine, fenofibrate, acyclovir, simvastatin, sumatriptan and lorazepam, as well as the four cardiovascular products being developed by us in collaboration with Athpharma. In the first quarter of 2003, we evaluated the results of a Phase III clinical trial involving buspirone, for the treatment of depression, and decided to discontinue the development of this product in light of the unsatisfactory results from this trial. We expect research and development expenses to increase in absolute dollars in 2004 compared to 2003 due to an anticipated increase in clinical activity. Our future level of research and development expenditures will depend on, among other things, the outcome of clinical testing of our products under development, delays or changes in government required testing and approval procedures, technological and competitive developments, and strategic marketing decisions. Selling, general and administrative Selling, general and administrative expenses were 2.8 million in 2003 compared to 6.4 million in 2002, an increase of .4 million or 46%. As a percentage of total revenue, selling, general and administrative expenses were 29% in 2003 compared to 21% in 2002. The increases in selling, general and administrative expenses in 2003 compared to 2002 reflected an increase in costs associated with the expansion of our commercial operations in the United States. In addition, selling, general and administrative expenses in 2003 included relocation costs of .5 million associated with the transition of our commercial operations head office from Raleigh, North Carolina, as well as certain research and development personnel from Chantilly, Virginia, to our new facility in Bridgewater, New Jersey. This transition was substantially complete by December 31, 2003 and, consequently, we do not expect to incur any additional material costs related to this relocation in 2004. Also contributing to the increases in selling, general and administrative expenses were advertising and promotional expenses related to the launches of Cardizem LA, Teveten HCT and Zovirax Cream. All previously deferred advertising costs at December 31, 2002, primarily related to Cardizem LA, were expensed on the launch of this product in April 2003. Sales and marketing costs were recorded net of a .0 million marketing allowance paid by Solvay in each of 2003 and 2002 to reimburse us for agreed upon direct costs to support the re-launch of Teveten and Teveten HCT. In 2003 and 2002, selling, general and administrative expenses included co-promotion fees payable to Reliant Pharmaceuticals, LLC "Reliant" ; . In November 2001, we entered into a co-promotion agreement with Reliant to co-promote certain of our products. Effective April 1, 2003, we amended certain terms of this agreement such that Reliant was responsible for its proportionate share of advertising and promotion costs incurred during 2003 related to the co-promoted products. Accordingly, selling, general and administrative expenses in the second and third quarters of 2003 were recorded net of an aggregate reimbursement of .0 million paid by Reliant. As a result, we were able to increase the level of spending on advertising and promotion related to the co-promoted products during 2003. The terms of the amended co-promotion agreement also increased Reliant's interest in the net sales of the co-promoted products, which resulted in incremental co-promotion fees of approximately .5 million. Effective December 31, 2003, we mutually agreed with Reliant to terminate this agreement as described below under extinguishment of royalty obligation.

With so many different medications on the market, not a week goes by that we don't hear about confusion between two products with similar names. Below are just a few examples that help illustrate the problem: A nurse misheard a verbal order for NEURONTIN gabapentin, an antiepileptic ; 400 mg BID as NOROXIN norfloxacin, an antibiotic ; 400 mg BID and administered several doses in error. A patient told a nurse he was allergic to LODINE etodolac, an antiinflammatory medication ; , but she misheard the patient and documented an allergy to iodine on the patient's chart. A pharmacist misread a handwritten prescription for tizanidine Z G ZANAFLEX, for muscle spasticity ; as tiagabine GABITRIL, an antiepileptic ; and dispensed this drug in error to the patient. A pharmacist misread a handwritten order for ZYVOX linezolid, an antibiotic ; 600 mg BID as ZOVIRAX acyclovir, an antiviral for herpes simplex zoster infections ; 600 mg BID, but a nurse noticed the error before the patient received the wrong medication. A pharmacy technician accidentally stocked an automated dispensing cabinet with 100 mg tablets of chlorpromazine an antipsychotic ; instead of chlorpropamide an antidiabetic ; . Four patients received the wrong drug. The usual dose, frequency and route of administration are similar for some drugs with look- and sound-alike names, which increases the risk of a mixup. And if the prescribed medication is new, you may mistakenly see a more familiar drug name on the order form, or mishear the drug name when receiving a verbal order. Tragically, some of these errors, like mix-ups between chlorpromazine and chlorpropamide, have resulted in fatalities. Knowing your patient's diagnoses is one key to preventing these types of errors. Drugs with look- and sound-alike names are rarely used for the same indication.
